Affiliate Program Terms & Conditions

These Affiliate Program Terms & Conditions (“Agreement”) govern your participation as an Affiliate in the The Grape Grind Affiliate Program (“Program”) offered by The Grape Grind LLC (“we,” “us,” “our”). By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by this Agreement.

1. Program Description

We operate our Affiliate Program through the platform Circle.so, using its native affiliate-functionality including cookies/tracking, referral links, attribution rules (e.g., last-affiliate gets credit), and the 60-day cookie window (or as determined by Circle’s platform).  

As an Affiliate, you will receive a unique referral link to share. When a new member uses your link and becomes a paying member of our “Grape Grind Tasting Group” membership, you earn a commission.

The Program applies only to the Grape Grind Tasting Group membership (currently priced at US $26/month or US $250/year) — though those pricing levels may change at any time, and may be subject to promotions/discounts.

Your commission is 25% of the actual amount paid by the referred member (net of any discounts or promotions), recurring for as long as that member continues to pay the membership dues. For example: if a referred member pays US $200/year (instead of the $250 list price) you would receive US $50 (25% × $200).

We pay out quarterly, in the first week of February, May, August and November. Commissions will be labelled “Pending” for 30 days from the date they are earned, to allow for chargebacks/refunds. Payments will be made via PayPal; you must have a valid PayPal account. We will not issue any commission payment until you have submitted a completed IRS Form W-9 to us. We reserve the right to refuse payment or terminate your participation at our discretion (see Section 4 below).

2. Affiliate Eligibility & Enrollment

• To join the Program, you must apply and be accepted by us. We retain sole discretion regarding acceptance.
• Upon acceptance, you will be provided a unique referral link via the Circle.so affiliate interface. You may begin promoting once approved.
• You must submit a valid PayPal account for payments and submit a completed W-9 (or other tax documentation if required by law) before any commissions can be paid.
• You represent that you are over 18 years old, and legally able to enter into this Agreement.
  
  

3. Tracking and Attribution

• The tracking and attribution of referrals is handled by Circle.so’s affiliate tracking system, which sets a cookie window of up to 60 days.
• The referral will be attributed to the Affiliate whose link was most recently clicked by the customer prior to subscription (last-affiliate attribution).
• Only the actual net revenue we receive from the membership payment (after discounts, promotions, refunds, taxes, charge-backs or collection costs) is eligible for the 25% commission.
• If a referred member cancels or stops paying, you will cease to receive further commissions for that member as of the date cancellation takes effect.
  
  

4. Commission Terms & Payment

• You earn 25% of each legitimate payment made by a referred member for the Grape Grind Tasting Group membership (recurring until cancellation).
• Commissions earned appear in your affiliate dashboard and are marked as “Pending” for 30 days, to allow for refunds/chargebacks. After the 30-day pending period, they migrate to “Approved.”
• Payments are issued quarterly, in the first week of February, May, August and November, for all Approved commissions from the quarter.
• Payment is made via PayPal to the address you have provided; you must maintain a valid PayPal account.
• You will not receive payment until you have submitted a valid IRS Form W-9 (or as required) and we have verified it.
• We reserve the right to withhold payment, delay payment, offset payments, reduce payments or refuse payment entirely at our sole discretion if we suspect abuse, fraud, violation of these terms, or any other reason.
  
  

5. Affiliate Responsibilities & Conduct

You agree that when promoting the Program you will:

• Use only your unique affiliate link and not alter or mask it in any manner that prevents proper tracking.
• Not engage in cookie-stuffing, self-referrals (i.e., signing up yourself via your own link), misleading marketing or deceptive practices.
• Comply with all applicable laws and regulations, including truth-in-advertising laws, and if you send email marketing, laws such as CAN-SPAM (US) or GDPR (EU) as applicable.
• Not use unsolicited bulk email or spam, not bid on our trademarks via pay-per-click unless expressly authorized, and not redirect links in a way that mis-attributes the source.
• Not engage in marketing in connection with content that is illegal, pornographic, defamatory, violent, hateful or otherwise objectionable.
• Clearly disclose to your audience that you will receive a commission if they purchase via your link (affiliate disclosure) in accordance with FTC guidelines (or other applicable jurisdiction).
• Affiliates are encouraged to create and share their own original promotional content — such as social media posts, videos, blog articles, or forum discussions — to promote The Grape Grind brand and the Grape Grind Tasting Group membership. Affiliates must represent the brand accurately and in good faith, and all content must comply with this Agreement, applicable laws, and any brand guidelines we may provide.
  We may periodically provide promotional assets (such as copy, imagery, or pre-designed email content) that Affiliates are free to use, modify, or adapt to their own voice and audience. Affiliates are not required to use our materials, but any self-created or modified materials must maintain the integrity and tone of The Grape Grind brand and must not be misleading, offensive, or inconsistent with our values.
• Immediately discontinue use of your link and any materials we supplied if we request you to do so, or upon termination of this Agreement.
  
  

6. Program Modification and Termination

• We reserve the right, at any time, to modify, suspend, or terminate the Program, or change the commission rate, terms, payment schedule or other features of the Program, with or without notice.
• We also reserve the right to terminate your participation in the Program at our sole discretion, with or without cause, including for abuse, suspected fraud, non-compliance with these terms, or harm to our reputation or business.
• Upon termination (by either party or by us), you will cease promoting our Program, remove all links and materials, and you will only receive commissions for payments made by referred members prior to termination (and subject to the 30-day pending period) unless we specify otherwise. We are under no obligation to pay commissions for any behaviour or periods we deem outside the Program or in violation of this Agreement.
  
  

7. Tax and Legal

• You are responsible for all taxes, duties, and other governmental charges arising from your participation in the Program and the receipt of any commissions.
• If we are required by law to collect or withhold taxes or other amounts from your payments, we may do so and adjust your payment accordingly.
• You must provide any tax documentation we require (such as W-9 or W-8BEN) prior to payment. Failure to provide the required documentation may result in withholding or non-payment.
  
  

8. Intellectual Property

• We grant you a limited, non-exclusive, revocable right to use our approved logos, trademarks, and approved promotional materials (if provided) solely for the purpose of promoting the Program in compliance with this Agreement.
• You will immediately stop using our trademarks, links and materials when required.
• All goodwill generated by your promotional efforts inures to our benefit only.
  
  

9. Warranties, Disclaimers & Limitation of Liability

• YOU AGREE THAT YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR SOLE RISK, AND THE PROGRAM, LINKS AND TRACKING ARE PROVIDED ON AN “AS IS” BASIS.
• WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, TRACKING, COMMISSIONS OR YOUR RESULTS.
• IN NO EVENT WILL OUR LIABILITY TO YOU IN CONNECTION WITH THIS AGREEMENT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES.
  
  

10. Indemnification

You will indemnify and hold harmless The Grape Grind, our affiliates, officers, directors, employees and agents from any losses, claims, damages or liabilities (including legal fees) arising out of your breach of this Agreement, your marketing activities, or your violation of any applicable law.

11. Independent Contractor

You are an independent contractor. Nothing in this Agreement establishes a partnership, joint venture, agency, employment or franchise relationship between you and us. You have no authority to represent us, make commitments on our behalf, or bind us.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Ohio without regard to its conflict of laws provisions. Any dispute arising under this Agreement shall be resolved in the courts of Delaware County, Ohio, and you consent to the exclusive jurisdiction and venue there.

13. Miscellaneous

• This Agreement constitutes the entire agreement between you and us regarding the Program and supersedes all prior agreements or communications.
• If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
• We may assign our rights or obligations under this Agreement to an affiliate or successor company; you may not assign your rights or obligations without our prior written consent.
• Headings are for convenience only and do not affect interpretation.
• You may not amend or waive any provision of this Agreement except in writing signed by both parties.
  
  

BY PARTICIPATING IN THE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ALL OF ITS TERMS.
